User Terms & Conditions

Introduction

User Agreement

By utilizing Qogni’s services, you consent to the terms laid out herein. This also incorporates our Cookie and Privacy Policies, detailing our data handling practices. Clicking “Join Now”, “Sign Up”, or equivalent actions implies your acceptance of a binding contract with Qogni. If you disagree, refrain from using our services. To annul this agreement, close your Qogni account.

Services

This User Agreement pertains to Qogni.com, Qogni mobile applications, and any Qogni-related platforms, tools, or services governed by this Agreement. Users with accounts are referred to as “User(s)”.

Qogni’s Commitment

  • Depending on your location, different branches of Qogni manage your data:
  • Designated Countries: Users in the EU, EEA, and Switzerland will interact with Qogni Technologies. This branch manages your data, located within European Union.
  • Other Regions: For those outside the Designated Countries, your data will be managed by Qogni Technologies, until further notice.

Regardless of your user status, our Privacy and Cookie Policies always apply.

Users Defined

Upon registering, you attain “User” status on Qogni. Without registration, you are not able to use our services or have access to the Qogni platform and/or services

Updates & Revisions

Qogni may revise this User Agreement, including our Privacy and Cookie Policies. Notable modifications will be communicated to you. Such changes are never retroactive. Disagreements can be addressed by closing your account. However, persisting in using our services after changes for more than 14 days indicates your acceptance of the new terms.

Obligations

Eligibility for Use

  • You must meet our “Minimum Age” requirement to use Qogni’s services. The minimum age to use our services is 18.
  • Ensure that: (1) you are at least the “Minimum Age”; (2) you hold only one Qogni account under your real name; and (3) you aren’t banned from using Qogni.
  • False account details, especially for those under 18, violate our terms.
  • The “Minimum Age” is typically 18, but local laws might dictate a higher age to legally use our services without parental consent.

Account Management

Safeguard your password and refrain from sharing your account. Adhere to our guidelines, laws, and community standards.

Even if someone else, like your employer, pays for a special service on Qogni for you, your personal account remains yours. However, the one who pays may have rights to access reports or settings related to the paid service.

Financial Commitment

  • If you avail of Qogni’s premium features, you’re responsible for any fees and taxes. Failing to pay might result in service termination.
  • Understand that: Location might affect prices due to currency conversion or local charges.
  • We can keep your payment method details, even post-expiration, for continuous service and other purchases.
  • Subscriptions automatically renew. Cancel beforehand to prevent future charges.
  • Our refund policy governs reimbursements.
  • Taxes are calculated based on your provided billing details.
  • Invoice copies are accessible in the “Purchase History” within account settings.

Communication

  • We can send notifications and messages via the Qogni platform, or the contact details you provided.
  • Update your contact details to stay informed.
  • Control the types of messages you get from us through your settings.

Content Sharing

  • Shared information on Qogni can be viewed, replicated, and utilized by others.
  • Sharing might occur in various forms like profiles, articles, posts, messages, etc. While you can control the visibility of some content, be aware that other members, visitors, or even external parties could access it. For job-related activities, we prioritize your privacy by default.
  • We retain the right to decide what gets published on Qogni and can remove content at our discretion.

Rights and Limits

Your License to Qogni

  • You retain ownership of your content. By using Qogni, you grant us a non-exclusive license to use, modify, and share your content.
  • You can revoke this license by deleting the content or closing your account.
  • We won’t use your content in third-party ads without consent.
  • Public content can be shared and found through search engines.
  • You’re responsible for sharing content legally and truthfully.
  • Feedback given to Qogni can be used without compensation to you.

Service Availability

  • Qogni can change, suspend, or stop any Service and adjust prices.
  • We don’t guarantee permanent storage of any content you post. We’re not a storage service.

Other Content, Sites, and Apps

  • Use content from others at your own risk. Qogni isn’t responsible for third-party content or services.
  • Qogni might suggest services (like health coaching), but doesn’t employ or oversee these professionals.
  • Qogni can help with event registration, but isn’t responsible for event conduct or content.

Limits

Qogni can limit your activities (like connections) on the platform.

Misusing the platform can lead to restriction, suspension, or termination of your account.

Intellectual Property Rights

Qogni’s intellectual property rights are reserved. Various logos and marks are the property of their respective owners.

Automated Processing

We use your data to provide relevant suggestions, like job recommendations. Updating your profile improves these suggestions.

Disclaimer and Limit of Liability

No Warranty

QOGNI AND ITS AFFILIATES MAKE NO REPRESENTATION OR WARRANTY ABOUT THE SERVICES, INCLUDING ANY REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND PROVIDE THE SERVICES (INCLUDING CONTENT, INFORMATION, OR PROGRAMS) ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, QOGNI AND ITS AFFILIATES DISCLAIM ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY IMPLIED WARRANTY OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Exclusion of Liability

Qogni isn’t responsible for any types of losses or damages, and any liability is capped at either what you’ve paid Qogni or US $1000, whichever is higher.

Basis of the Bargain; Exclusions

These liability limitations are crucial to the agreement between you and Qogni. Any case, even in the case of death or gross negligence, are no exceptions to these limitations.

Termination

The Contract can be ended by either party at any time. Some rights and obligations will persist after termination. You can close your account through the through the online app. Click you profile picture, then click “Settings”, scroll to “Danger Zone” and click “Delete my account”.

Governing Law and Dispute Resolution

Legal disputes will be settled in the Court of Amsterdam, The Netherlands.

General Terms

If any part of the Contract is deemed unenforceable, the rest of the Contract remains in effect. This Contract is the sole agreement about the Services and replaces all previous agreements. If Qogni doesn’t enforce a part of the Contract once, it doesn’t mean they won’t later. You can’t transfer this Contract to someone else without Qogni’s permission. The only way to give Qogni legal notice is at addresses in Section 10.

Qogni Community Guidelines

Being a part of Qogni means you’re in a health community. Our guidelines and policies help keep things respectful in any case.

The Dos

Being with Qogni, you promise to:

  • Abide by all laws, whether they’re about privacy, copyrights, or any other legal matter.
  • Give us real and accurate information, and keep it up-to-date.
  • Use your actual name for your profile.
  • Act friendly and respectful while using our platform.

The Don’ts

With Qogni, you agree not to:

  • Pretend to be someone else or use someone else’s account.
  • Use automated systems, like bots, to copy or scrape our platform’s data.
  • Try to get around our security or access limits.
  • Share any info from our platform without our permission, or the permission of its owner.
  • Share stuff you shouldn’t, like someone else’s secret or harmful information.
  • Share false, untruthful or misleading (health) content.
  • Use someone else’s creative work, like their posts or videos, without permission.
  • Use our name or logos without our say-so, unless it’s as guided in our Brand Guidelines.
  • Post harmful software or codes.
  • Try to figure out our platform’s behind-the-scenes tech or copy our content.
  • Wrongly claim to be partnered with or approved by Qogni.
  • Profit from our platform or its data without our go-ahead.
  • Use automated systems to interact with our platform, like sending messages.
  • Mimic our platform’s look or function.
  • Meddle with our platform’s operation or overload it.
  • Go against our Community Policies or any additional terms for specific services.

Content Complaints

If you have concerns about what someone posts, reach out. We respect intellectual property and expect our members to post accurate and respectful content.

Disclaimer and Limitation of Liability for Qogni’s Services

Absence of Promises: Qogni doesn’t give legal promises about the flawlessness, security, or reliability of our offerings. We provide our services just as they are and as available.

Boundaries on Our Responsibility: Unless Qogni has a specific written agreement with you, we’re not responsible for things like lost profits, damage to reputation, or lost data. Any legal responsibility we might have is limited to the greater of either: the total fees you’ve given to Qogni, or US $500.

Why These Limitations?: These restrictions on our responsibility are fundamental to our agreement. There are certain situations, like severe negligence or intentional wrongdoing, where these limits might not apply.

Ending Our Relationship

Either you or Qogni can decide to end this agreement at any point. If that happens, you won’t be able to use our services. However, certain parts of the agreement will continue even after it ends, like our right to use your feedback or any payments that were due before the end.

Legal Disputes and Their Location

If we ever have a legal disagreement, ONLY Dutch Law (law of The Netherlands) will apply.

Additional Details

If a part of this agreement isn’t allowed by law, we hope the court will adjust it so that it is. If that can’t happen, then that part should be removed, but the rest of the agreement stays in place. This document is our entire understanding about Qogni’s services. Not enforcing a part of this agreement doesn’t mean we give up the right to do so later. You can’t give this agreement to someone else unless Qogni agrees. However, Qogni can transfer the agreement under certain conditions. If you need to provide us with a formal legal notice, there’s a specific way to do that mentioned in Section 10.
